AirAsia X Berhad (AAX) has announced the fulfilment of all conditions precedent under the Share Sale and Purchase Agreements (SSPAs) entered into with parent company Capital A Berhad, there by rendering these agreements unconditional as of 29 October 2025.
This development is a significant milestone in the successful acquisition of AirAsia Aviation Group Limited (AAAGL) and AirAsia Berhad (AAB). These acquisitions will decisively establish a consolidated airline platform under AirAsia X, which will be rebranded as AirAsia Group. The new entity will confidently serve both medium and short-haul routes across Asia, Australia, the Middle East, and beyond.
This milestone marks the completion of all outstanding requirements. All stakeholder consent letters and the RM1 billion private placement commitment letters for AirAsia X have been secured. Additionally, on October 17, a major hurdle related to a regulatory exemption from Thailand was successfully resolved.

Furthermore, the consolidation will enable the AirAsia Group to achieve efficiencies throughout the value chain, encompassing fleet and network planning, digital operations, and customer experience. This strategic initiative is expected to foster a more agile, scalable, and globally competitive low-cost airline group.
AirAsia Group currently operates a broad multi-hub network from five countries in Southeast Asia, serving destinations across Asia, Australia, and Central Asia, including cities like Almaty, Karachi, and Tashkent. Soon, the airline will also be expanding to Istanbul, bringing it closer to Europe.
This transformation aligns with AirAsia Group’s long-term vision to build the world’s first low-cost network carrier leveraging an innovative narrow-body driven global connectivity strategy, combining short-haul efficiency with long-haul reach, enabling travellers to fly further, more affordably and more seamlessly than ever before.
